    The vendor agreement lets the vendor use and sell the client's data.

    You flag the clause, and the client asks what to do now. We inventory what the vendor touches, turn your validation and audit questions into a working process, and help the practice identify who should own the answers.

    Buy-side documents now carry AI representations and warranties on disclosure, governance, and auditing. A seller who can't answer them has a problem, and a buyer who closes without knowing what's running has a different one. We do the inventory and the governance assessment so the seller can answer, and the buyer knows what it's acquiring.

    What stays with you

    Anything that's a legal question: whether use is permitted under HIPAA or state law, how the contract should read, the liability picture, how the deal is structured. We don't offer legal opinions, we say so to the client, and we refer legal questions back to you.

    How we work with attorneys

    We're independent. We don't sell software or represent vendors, and no referral fee is paid or accepted between us and a referring attorney. We work in alignment with Joint Commission and CHAI guidance and the NIST AI Risk Management Framework.

    Engagements run from a short readiness review to a longer governance build. We sit alongside the client's existing committee, and executive accountability remains with the client's leadership.

    30+ years in health IT. Co-founder of the Keystone Health Information Exchange, former community hospital CIO, and Fellow of the American College of Health Data Management. Holds a Harvard Medical School certificate in AI in Health Care and most recently led AI product delivery for a federal health client.
